Overview

Welcome to Skyline Textiles (Private) Limited, a wholesale fabric and textile supplier in Sri Lanka.

Throughout these Terms of Service, the words "Skyline Textiles", "Company", "we", "us", and "our" refer to Skyline Textiles (Private) Limited. The terms "customer", "buyer", "you", and "your" refer to individuals, businesses, companies, or their authorised representatives who access our website or purchase goods from us.

Skyline Textiles specialises in supplying wholesale textile materials, including denim, twill, linen, viscose, woven fabrics, knitted fabrics, and other textile products to garment manufacturers, apparel businesses, clothing brands, textile traders, and resellers throughout Sri Lanka.

Our website, www.skylinetextiles.com, operates exclusively as an online wholesale fabric catalogue. It allows visitors to browse our available fabrics, product specifications, designs, and other business information.

All purchases are conducted in person at our physical showroom. We do not accept online orders or process payments through our website.

These Terms of Service govern the use of our website and establish general conditions relating to wholesale fabric purchases, payments, credit arrangements, product quality, delivery, and other commercial matters.

Please read these Terms carefully before using our website or purchasing materials from Skyline Textiles.

By accessing or using our website, you agree to comply with the terms applicable to website use. Wholesale transactions are additionally governed by their applicable sales invoices, signed Credit Agreements, and other expressly agreed contractual conditions.

Section 1 – Website Purpose and Use

1.1 Online Product Catalogue

The Skyline Textiles website is maintained for informational and catalogue purposes only.

Visitors may browse our fabric collections, view product details, compare materials, and obtain information about our wholesale textile business.

The website does not provide online purchasing, shopping-cart checkout, or online payment processing.

Displaying a product on our website does not constitute a binding offer to sell that product at a particular price or quantity.

1.2 Showroom Purchases

Customers must visit our physical showroom to inspect, select, and complete the purchase of wholesale fabrics.

All sales are subject to confirmation of product availability, agreed quantities, applicable prices, payment arrangements, and other relevant transaction conditions.

1.3 Lawful Website Use

Visitors must use our website lawfully and must not engage in activities that may disrupt its operation, compromise its security, or infringe the rights of Skyline Textiles or third parties.

We may restrict access to our website where reasonably necessary to prevent misuse, fraud, or unlawful activities.

Section 2 – Wholesale Business Operations

Skyline Textiles operates as a wholesale textile supplier, serving customers purchasing fabrics for commercial, manufacturing, tailoring, clothing production, and resale purposes.

Our business activities include the supply of textile materials in agreed quantities, which may be measured in yards, metres, kilograms, rolls, or other relevant units depending on the product.

Wholesale transactions are conducted directly at our showroom and documented through the applicable sales invoices or other agreed commercial records.

Skyline Textiles reserves the right to determine product availability, commercial pricing, credit eligibility, and supply arrangements in accordance with its business requirements and applicable law.

Section 3 – Product Information and Specifications

3.1 Product Descriptions

We aim to provide accurate and useful information about the textile materials displayed on our website.

Product descriptions may include:

  • Fabric type and construction.

  • Fibre composition, where specified.

  • Fabric weight, including GSM or ounce measurements.

  • Fabric width.

  • Colour and design.

  • Stretch characteristics.

  • Available quantities or units of measurement.

  • Other relevant technical specifications.

Website descriptions are provided for reference purposes. Customers should confirm the applicable specifications and available stock at the showroom before completing a purchase.

3.2 Product Images and Colour Accuracy

We make reasonable efforts to display fabric colours, textures, and designs accurately.

However, product appearance may vary depending on photography, lighting conditions, display settings, and individual device characteristics.

Customers are encouraged to inspect physical samples before purchase, particularly where colour, texture, or exact shade matching is important.

3.3 Manufacturing Variations

Textile materials may exhibit variations arising from manufacturing, dyeing, finishing, or production processes.

These may include differences in shade, weight, width, texture, shrinkage, stretch, and other material characteristics.

Any alleged discrepancy will be assessed against the expressly agreed product specifications, relevant measurement methods, and applicable manufacturing tolerances.

3.4 Product Suitability

Customers are encouraged to assess the suitability of the selected fabric for their intended application before purchase.

Where appropriate, customers should conduct sample testing before large-scale cutting, washing, dyeing, stitching, or garment production.

Skyline Textiles will review genuine concerns about product quality or conformity in accordance with the relevant transaction terms, our Refunds & Returns Policy, and applicable Sri Lankan law.

Section 4 – Product Availability and Stock Information

All products are subject to availability.

Fabric stock levels may change due to showroom sales, wholesale transactions, incoming shipments, and other inventory movements.

Information displayed on our website, including stock availability, may not always reflect the exact quantity available at the showroom at a particular moment.

Customers should confirm availability before making arrangements that depend on a specific fabric, colour, batch, or quantity.

Skyline Textiles does not guarantee the continuous availability of any specific textile material or product design.

Section 5 – Pricing and Sales Confirmation

5.1 Wholesale Pricing

Wholesale prices may vary depending on fabric type, quantity, market conditions, sourcing costs, and other commercial considerations.

Prices displayed on the website, where applicable, are provided for reference and may be updated without prior notice.

The final selling price will be confirmed directly by Skyline Textiles at the time of the relevant transaction.

5.2 Sales Invoices

A sales invoice or other appropriate transaction record will be issued for confirmed purchases.

The applicable invoice may specify:

  • Customer and business information.

  • Product descriptions and specifications.

  • Purchased quantities and units of measurement.

  • Agreed unit prices and total invoice value.

  • Applicable taxes or other charges, where relevant.

  • Payment terms and due dates.

  • Any additional transaction-specific conditions.

Customers are encouraged to review their invoice and raise any discrepancies promptly.

5.3 Changes to Confirmed Transactions

Once a purchase has been confirmed and invoiced, requests to change quantities, materials, or other transaction details are subject to approval by Skyline Textiles.

Any agreed changes will be documented through an appropriate revised invoice, credit note, or other transaction record.

Confirmed contractual prices or terms will not be changed retrospectively without an appropriate legal or contractual basis.

Section 6 – Accepted Payment Methods

Skyline Textiles accepts the following payment methods for wholesale fabric transactions.

6.1 In-Store Cash Payments

Cash payments may be made directly at our physical showroom in Sri Lankan Rupees (LKR).

An official sales invoice or receipt will be issued as appropriate.

6.2 Bank Transfers

Payments may be made by bank transfer to the officially designated company bank account.

Customers should verify the relevant banking details with an authorised Skyline Textiles representative before transferring funds.

Proof of payment may be requested for verification.

A bank transfer is considered received once the relevant funds have been confirmed in the designated company account.

6.3 Credit Facilities

Credit facilities may be offered to eligible wholesale customers following internal management assessment and approval.

Approval is discretionary and may require business information, supporting documentation, and execution of a formal Credit Agreement.

6.4 Post-Dated Cheques (PDC)

Post-dated cheques may be accepted from eligible customers, subject to internal management review and approval.

Cheques must comply with the agreed amount, date, payee, and other applicable payment conditions.

A cheque will not be treated as finally settled until the relevant payment has been successfully cleared.

Credit facilities and post-dated cheque arrangements are not automatically available and require prior approval by Skyline Textiles' internal management.

For additional information, please review our Payment Information – Sri Lanka page.

Section 7 – Credit Purchases and Payment Terms

7.1 Credit Approval

Skyline Textiles may offer wholesale credit arrangements to customers who satisfy its internal eligibility and approval requirements.

Credit approval may depend on the customer's business relationship, payment history, supporting information, and other relevant commercial considerations.

Skyline Textiles may approve, decline, review, or revise credit arrangements in accordance with the applicable agreement and law.

7.2 Credit Agreement

Customers granted credit facilities may be required to enter into a formal Credit Agreement with Skyline Textiles (Private) Limited.

The Credit Agreement sets out the agreed credit period and other obligations relating to the relevant transaction.

7.3 Payment Due Dates

Unless otherwise agreed in writing, credit customers must settle their invoices within the credit period stated in the applicable Credit Agreement, calculated from the invoice date.

Payment must be completed in accordance with the agreed terms.

7.4 Delayed Payments

Customers who anticipate a delay in settlement are encouraged to contact Skyline Textiles as soon as possible.

Any extension, revised payment arrangement, or amendment to the agreed due date requires appropriate approval.

7.5 Outstanding Balances

Failure to settle outstanding invoices within the agreed period may result in a review of the customer's credit arrangements or restrictions on further credit transactions, subject to the applicable agreement and law.

Skyline Textiles reserves the right to pursue lawful recovery of overdue amounts where necessary.

7.6 Ownership of Goods on Credit

Under the Skyline Textiles Credit Agreement, ownership of goods corresponding to the unpaid value remains with Skyline Textiles until the full invoice amount is paid.

These ownership provisions operate in accordance with the applicable Credit Agreement and Sri Lankan law.

7.7 Payment Disputes and Invoice Adjustments

Any dispute regarding an invoice, returned material, or outstanding balance should be communicated promptly.

A return request or payment dispute does not automatically amend an invoice or extend the payment period unless otherwise agreed or required by applicable law.

Approved adjustments will be documented through the relevant invoice, credit note, or customer account records.

Section 8 – Post-Dated Cheque Conditions

Where post-dated cheques are accepted, the customer agrees to comply with the applicable cheque and payment arrangements.

Customers must ensure that sufficient funds are available when the cheque is presented for payment.

If a cheque is dishonoured, returned, or otherwise unpaid, the outstanding amount remains subject to the applicable payment obligations.

Any relevant bank charges, recovery costs, or additional liabilities will be handled in accordance with the agreed terms and applicable Sri Lankan law.

Skyline Textiles may request an alternative payment method or review further credit or cheque acceptance following a payment irregularity.

Section 9 – Collection and Delivery of Goods

9.1 Showroom Collection

Purchased fabrics may be collected directly from the Skyline Textiles showroom.

Customers are responsible for arranging suitable transportation for the type, quantity, dimensions, and weight of their purchased materials.

9.2 Third-Party Courier Services

Customers may arrange delivery through available third-party courier services, subject to the provider's coverage, package restrictions, and operational requirements.

Standard courier arrangements may cover Colombo, surrounding suburbs, and eligible outstation destinations throughout Sri Lanka.

9.3 PickMe and Uber Transportation

Customers may also arrange transportation using PickMe, Uber, or other suitable on-demand transport services.

These arrangements are subject to vehicle availability, transport-provider conditions, and service coverage.

9.4 Delivery Timeframes

Estimated delivery periods depend on the selected transportation method.

Standard courier delivery estimates and other relevant information are provided on our Shipping Information – Sri Lanka page.

On-demand transportation does not guarantee immediate pickup or delivery within a fixed timeframe.

9.5 Delivery Risk and Responsibility

Delivery risk and responsibility are determined by the applicable transaction terms, relevant delivery arrangements, and Sri Lankan law.

For transactions governed by our Credit Agreement, the agreement provides that risk of loss or damage passes to the Buyer upon delivery.

Any claim involving transportation damage, loss, or failure to deliver will be assessed according to the circumstances and applicable contractual and legal obligations.

Please review our Shipping Policy for further information.

Section 10 – Returns, Exchanges and Refunds

All wholesale fabric purchases are subject to our official Refunds & Returns Policy and any applicable invoice-specific conditions.

Wholesale purchases are generally considered final, except where a voluntary return or exchange is approved or a valid claim arises from defective, incorrectly supplied, or non-conforming goods.

10.1 Voluntary Returns and Exchanges

Customers may submit requests for eligible voluntary returns or exchanges within 21 days of the relevant invoice date.

Approval is discretionary and subject to the condition of the material and applicable transaction terms.

10.2 Defective or Incorrectly Supplied Goods

Customers should notify Skyline Textiles promptly if they identify manufacturing defects, incorrect materials, or relevant discrepancies.

Visible defects and delivery discrepancies should preferably be reported within 48 hours of receipt to assist timely investigation.

These reporting periods do not exclude rights or remedies available under applicable Sri Lankan law.

10.3 Returns Against Credit Invoices

Where goods purchased on credit are approved for return, the accepted return value may be reconciled through a documented credit note or adjustment to the relevant invoice.

Customers must not independently deduct unapproved return amounts from outstanding payments.

10.4 Refund Processing

Approved refunds will be processed after verification and in accordance with the payment status, applicable transaction terms, and relevant law.

For complete information, please review our Refunds & Returns Policy.

Section 11 – Customer Responsibilities

Customers purchasing wholesale textile materials agree to:

  1. Provide accurate personal, business, contact, and billing information where required.

  2. Confirm the relevant fabric specifications, quantity, and pricing before purchase.

  3. Make payments in accordance with the agreed payment terms.

  4. Provide accurate collection or delivery information where transportation is arranged.

  5. Use suitable transport arrangements for the purchased materials.

  6. Handle and store purchased fabrics appropriately.

  7. Raise suspected product defects or invoice discrepancies promptly.

  8. Comply with applicable Sri Lankan laws and relevant contractual obligations.

Customers purchasing on behalf of businesses must have appropriate authority to undertake the relevant transactions.

Section 12 – Manufacturing and Commercial Use

Wholesale customers may purchase fabrics for garment manufacturing, clothing production, textile processing, tailoring, or resale.

Where fabrics are intended for commercial manufacturing, customers are encouraged to conduct appropriate sample inspections and testing before processing the full purchased quantity.

Any express performance requirements or special technical specifications should be agreed before purchase.

Skyline Textiles will assess product-quality complaints based on the relevant agreed specifications, available evidence, applicable contractual conditions, and Sri Lankan law.

Claims involving manufacturing losses, production delays, third-party claims, or other commercial consequences will be assessed in accordance with the applicable agreement and law.

Section 13 – Intellectual Property

All content displayed on the Skyline Textiles website, including company branding, logos, website design, original text, product photography, graphics, and other protected materials, is owned by Skyline Textiles or used with the appropriate permissions.

Visitors may access and use website information for legitimate personal or business reference purposes.

No permission is granted to reproduce, distribute, republish, or commercially exploit protected content without the necessary authorisation, except where permitted by law.

Unauthorised use of our branding or intellectual property is prohibited.

Section 14 – Accuracy and Availability of Website Information

We aim to maintain accurate, relevant, and current product and business information on our website.

However, the website may occasionally contain outdated stock information, pricing discrepancies, typographical errors, or incomplete product descriptions.

Skyline Textiles reserves the right to correct website information and update product details when necessary.

Customers should verify critical product information directly with our showroom before making purchasing or production decisions.

The publication of incorrect website information does not automatically create a confirmed sale or override specifications expressly agreed in a completed transaction.

We do not guarantee uninterrupted or error-free availability of the website.

Section 15 – Third-Party Services and External Links

Our website may contain links to external websites or services, including mapping platforms, social media channels, and transportation providers.

These third-party services operate independently and may be subject to their own terms, privacy policies, availability, and operational requirements.

Skyline Textiles does not control the content or performance of independently operated third-party platforms.

Customers using such services should review the relevant provider's conditions.

Nothing in this section excludes responsibilities that Skyline Textiles may have under an applicable agreement or Sri Lankan law.

Section 16 – Personal Information and Privacy

Skyline Textiles may collect and process information reasonably required for business enquiries, invoicing, customer communication, credit assessment, payment verification, and other legitimate business activities.

Such information may include customer names, business details, contact information, billing addresses, and relevant transaction records.

Personal information will be handled in accordance with our Privacy Policy and applicable Sri Lankan data protection requirements.

Customers should ensure that the information supplied to Skyline Textiles is accurate and appropriately authorised.

Section 17 – Prohibited Website Activities

Visitors must not use the Skyline Textiles website to:

  • Engage in unlawful, fraudulent, or misleading conduct.

  • Attempt unauthorised access to website systems or customer information.

  • Introduce malicious software, viruses, or harmful code.

  • Interfere with website performance or security.

  • Infringe intellectual property or other legal rights.

  • Misuse website content or impersonate Skyline Textiles.

  • Conduct unauthorised automated activity that disrupts website operations.

Skyline Textiles may take reasonable action to restrict misuse and protect its website, customers, and business operations.

Section 18 – Disclaimer and Limitation of Liability

18.1 Website Information

Information available through our website is provided for general catalogue and business reference purposes.

Although reasonable efforts are made to maintain its accuracy, customers should independently confirm material product specifications, availability, prices, and commercial conditions before purchase.

18.2 Website Availability

Skyline Textiles does not guarantee that website access will be uninterrupted, error-free, or free from every technical disruption.

18.3 Business Transactions

The rights and obligations of Skyline Textiles and its customers in relation to product quality, payment, delivery, and other commercial matters are determined by the relevant contracts and applicable Sri Lankan law.

18.4 Liability

To the extent permitted by applicable law, Skyline Textiles will not be liable for indirect losses arising solely from ordinary website interruptions or inaccuracies where no applicable legal or contractual liability exists.

Nothing in these Terms excludes or restricts liability, legal remedies, or rights that cannot lawfully be excluded or restricted.

Section 19 – Indemnification

To the extent permitted by law, users agree to be responsible for reasonably substantiated third-party claims, losses, and expenses arising directly from their unlawful use of our website, intentional infringement of third-party rights, or material breach of applicable website-use obligations.

This provision does not require users to indemnify Skyline Textiles for losses caused by the Company's own unlawful conduct or for liabilities that cannot lawfully be transferred.

Section 20 – Force Majeure

Skyline Textiles shall not be responsible for delays or failures in performing obligations to the extent caused by circumstances beyond its reasonable control, subject to the relevant contractual terms and Sri Lankan law.

Such circumstances may include:

  • Natural disasters or extreme weather.

  • Government restrictions or regulatory measures.

  • Transport interruptions or significant logistical disruptions.

  • Industrial disputes.

  • Power failures or major system outages.

  • Other extraordinary events beyond reasonable control.

Where reasonably practicable, Skyline Textiles will communicate material disruptions and take appropriate steps to minimise their effects.

This section does not automatically cancel existing payment obligations or remove statutory rights.

Section 21 – Governing Law and Dispute Resolution

21.1 Applicable Law

These Terms of Service are governed by the laws of the Democratic Socialist Republic of Sri Lanka.

21.2 Amicable Resolution

Skyline Textiles encourages customers to raise concerns directly with our management so that disputes may be addressed through discussion and reasonable commercial arrangements.

Both parties should make reasonable efforts to resolve disagreements amicably before initiating formal proceedings.

21.3 Legal Proceedings

Where a dispute cannot be resolved amicably, it may be referred to a court of competent jurisdiction in Sri Lanka.

If the parties have expressly agreed to arbitration through a separate legally valid written agreement, that agreement will govern the applicable arbitration procedure.

Nothing in these Terms restricts access to statutory remedies or competent authorities where such rights are provided by law.

Section 22 – Relationship with Other Agreements and Policies

These Terms of Service should be read together with the following Skyline Textiles policies:

For individual wholesale transactions, any applicable signed Credit Agreement, accepted sales invoice, or other expressly agreed transaction-specific document may contain additional or more specific conditions.

Where an inconsistency arises, a valid expressly agreed transaction-specific condition will generally prevail over a conflicting general website term in relation to that transaction, subject to applicable law.

In particular, return conditions for credit purchases should be read together with the Return Policy section of the relevant sales invoice, as specified in our Credit Agreement.

These website Terms do not automatically replace or amend existing signed agreements.

Section 23 – Severability and Waiver

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be treated as severed or limited to the extent required by law.

The remaining provisions will continue to apply to the extent legally enforceable.

A failure or delay by Skyline Textiles to exercise a particular contractual right does not automatically constitute a permanent waiver of that right.

Any express waiver must be properly authorised and documented.

Section 24 – Amendments to These Terms

Skyline Textiles may update these Terms of Service to reflect changes in its website, business operations, policies, or applicable legal requirements.

Updated Terms will be published on the official website with the relevant revision date.

Changes to these general website Terms will apply prospectively and will not automatically modify previously completed purchases, existing credit obligations, or separately agreed contractual terms.

Customers and website visitors are encouraged to review this page periodically.
